These Terms of Use (“Terms”) govern your access to and use of the websites, mobile pages, and messaging-based services (collectively, the “Services”) provided by Grace Cares Inc. (“Grace Cares,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Services

1. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have authority over any device or phone number you register. By using the Services, you represent and warrant that you meet these requirements.

2. Account Registration and Security

  • You agree to provide accurate, current, and complete information when you create an account.

  • You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

  • Notify us promptly of any unauthorized use of your account or other security breach.

3. License and Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes, subject to these Terms. All rights not expressly granted are reserved by Grace Cares.

4. Prohibited Conduct

You agree not to:

  1. Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services.

  2. Interfere with or disrupt the Services or associated networks.

  3. Use the Services for unlawful, harmful, fraudulent, or misleading purposes.

  4. Infringe or violate the intellectual-property or privacy rights of others.

  5. Circumvent any security or access-control mechanism of the Services.

5. User Content

If you submit text, images, or other material (“User Content”) through the Services, you grant Grace Cares a worldwide, royalty-free, sublicensable license to use, store, reproduce, and distribute that User Content solely to operate, improve, and promote the Services. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party rights.

6. Intellectual Property

The Services and all related content, trademarks, service marks, logos, and software are owned by Grace Cares or its licensors and are protected by intellectual-property laws. Nothing in these Terms transfers any ownership rights to you.

7. SMS Messaging

By providing your mobile number, you consent to receive operational or transactional text messages. Message frequency may vary; carrier rates may apply. You can opt out at any time by replying STOP. Reply HELP for assistance. Consent to receive messages is not a condition of purchase.

8. Fees and Payments

If we offer paid features, you agree to pay all fees and applicable taxes. Fees are non-refundable except where required by law. We may change pricing with reasonable advance notice.

9. Disclaimers

The Services are provided “as is” and “as available.” Grace Cares disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and error-free or uninterrupted operation.

10. Limitation of Liability

To the maximum extent permitted by law, Grace Cares will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for all claims arising out of or related to the Services will not exceed the amount you paid to Grace Cares, if any, in the six months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Grace Cares and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services;

  • Your violation of these Terms; or

  • Your violation of any law or third-party right.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for any other lawful reason. Upon termination, the rights and obligations of the parties that by their nature should survive (including Sections 6, 9, 10, 11, and 14) will remain in effect.

13. Modifications to the Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their personal jurisdiction.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grace Cares regarding the Services and supersede all prior agreements or understandings.
